Terms of Use
Professional Services & Legal Access Agreement. This Terms of Use constitutes the primary legally binding agreement between Warien Rose Academy and all users, participants and clients.

Jurisdiction: Federal Republic of Nigeria.
By accessing WRA platforms, enrolling in programmes, or participating in any learning activity, you agree to be bound by this Agreement. If you do not agree, you must not use WRA services.
In the event of any conflict between this Terms of Use and any other WRA document, this Terms of Use shall prevail.
This is the primary binding agreement.
The WRA Global Learner Handbook, policies, programme guides and any other institutional documents are supplementary operational frameworks that define conduct, participation standards and learning expectations. WRA reserves the right to interpret and enforce all institutional policies in line with its academic, professional and operational standards.
1. Legal Agreement
This Terms of Use ("Agreement") is a legally binding contract between Warien Rose Academy (WRA), incorporated and operating under the laws of the Federal Republic of Nigeria, and any individual accessing or using its services. By accessing WRA platforms, enrolling in programmes, or participating in any learning activity, you agree to be bound by this Agreement. If you do not agree, you must not use WRA services.
2. Scope of Services
This Agreement applies to all WRA services including:
- Executive and professional training programmes
- Online and hybrid learning platforms
- Physical training environments
- Workshops, masterclasses and leadership labs
- Digital learning systems and portals
- Assessment and certification services
3. Eligibility and Access
WRA reserves the right to approve, suspend or terminate access where necessary for:
- Professional conduct concerns
- Security or misuse risks
- Operational requirements
- Policy or compliance violations
Admission does not guarantee certification or career outcomes.
4. User Accounts
Users are responsible for maintaining account confidentiality, all activity under their account, and preventing unauthorised access. WRA may suspend accounts where misuse is detected.
5. Intellectual Property Rights
5.1 WRA Ownership
All institutional materials remain the exclusive intellectual property of Warien Rose Academy or its licensors, including curriculum frameworks, training materials and modules, lectures and recordings, digital systems and content, and branding, templates and methodologies. No rights are transferred except where expressly stated.
5.2 Student Ownership
Participants retain ownership of original work created by them, including assignments, projects, presentations, case studies and independent creative outputs. Ownership is subject to the licence granted below.
5.3 Student Licence Grant to WRA
By submitting any work during participation, the participant grants Warien Rose Academy a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, publish and display submitted work; share work in digital or physical formats; use work for educational, training, institutional, promotional, marketing, publicity and branding purposes; and feature work on websites, social media, presentations and reports. This licence is granted automatically upon submission and does not require further approval or notice.
5.4 No Compensation
Participants acknowledge that no royalties, fees or financial compensation shall be due for any lawful use of submitted work under this Agreement.
5.5 Attribution
Where practicable, WRA may acknowledge the creator, but failure to do so does not constitute a breach of this Agreement.
6. Acceptable Use
Users must not engage in fraud or dishonesty, commit academic or professional misconduct, harass or abuse others, misuse systems or platforms, violate intellectual property rights, or engage in illegal or unethical activity.
7. Professional Integrity
Any misrepresentation, dishonesty or misconduct may result in suspension, programme removal, withholding of certification, revocation of certificates, or legal action where applicable.
8. Fees and Payment
Fees must be paid as agreed. Non-payment may result in restricted access or suspension.
9. Refund Policy
Refunds are governed strictly by WRA's official Refund Policy, which forms part of these Terms by reference. Refund eligibility, conditions, and limitations are defined exclusively in that policy. Refunds are not automatic and are subject to compliance with stated conditions.
10. Third-Party Services
WRA may use external platforms and is not responsible for their independent performance or policies.
11. Data Protection
Personal data is processed in accordance with applicable Nigerian data protection laws for educational and operational purposes.
12. Certification and Revocation
WRA may issue certification upon successful completion of programme requirements, withhold certification for non-compliance with programme or institutional requirements, and revoke certification obtained through fraud, misconduct or misrepresentation.
13. Limitation of Liability
WRA is not liable for indirect or consequential losses. Liability is limited to fees paid where applicable under Nigerian law.
14. Force Majeure
WRA is not responsible for disruptions beyond its control, including technical failures, emergencies or governmental actions.
15. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
16. Dispute Resolution
Disputes shall first be resolved internally. If unresolved, they may proceed to mediation or the courts of competent jurisdiction in Nigeria.
17. Amendments
WRA may update this Agreement at any time. Continued use of WRA services constitutes acceptance of the revised Terms of Use.
18. Entire Agreement
This document constitutes the entire agreement between Warien Rose Academy and its users regarding the matters covered herein and supersedes any prior understanding or agreement relating to the same subject matter.
